A project at the University of Amsterdam called DRM Paradiso (euphemism anyone?) tries to bundle DRM with a pyramid scheme, which have both had general problems with legality in the past.
Here is their sample scenario:
A content owner uploads a digital content, say a song, onto the online content provider system. He then decides on various parameters like the price, resell depth etc. A consumer Bob contacts the provider and asks for a copy of the song. He pays for the content. He has a suspicion that his friends may also like the song. So he decides to buy 10 reselling rights for the song from the provider. Later that day he meets Mark in the pub and lets him know about the song he has. Mark says “Cool, can I have a copy?” Bob resells one copy to Mark. The next day at office, near the water cooler Bob sells another song to Eric. Eric has heard his friend Alice mention some time go that she would love to have that song. So Eric also buys one resell rights to the song. While on his evening jog in the park Eric meets Alice and uses the bought right to sell her a copy.
And here is my alternative scenario:
A content owner uploads a digital content, say a song, onto the online content provider system. He then decides on various parameters like the price, resell depth etc. A consumer Bob contacts the provider and asks for a copy of the song. He pays for the content. He has a suspicion that his friends may also like the song. So he decides to buy 10 reselling rights for the song from the provider. Unfortunately it turns out that none of his friends like this song well enough to buy it from Bob. They think Bob is a bit strange anyway because he always tries to sell them stuff and seems to obsess about it quite a bit. Taking the rebate he got into account, Bob now paid 7 times the original price of the song for 1 original copy and 10 resell rights. The content provider of course does not offer to buy back unsold resell rights and even if he would consider it, it would be at a severely reduced price. And because selling licenses for intellectual property is a business, the DRM Paradiso system has automatically sent information about Bob to the responsible Department of Revenue and the IRS to take care of the appropriate taxes.

So also auch hier.
